About us.

          Founded in 2015, we are a boutique consulting firm based out of San Juan, Puerto Rico. Whether structuring complex transactions, litigating novel issues of law, or preparing persuasive evidenced based white papers for issue advocacy, we pride ourselves on being consistently at the forefront of multi-disciplinary analysis and counseling.

 

          Our managing member, Rafael M. Arrillaga-Romany, specializes in finance, law and public policy. From July 2015 to December 2016, he advised the President of the Puerto Rico Senate and Senate Majority Caucus on all matters related to fiscal policy- (legislative assignments included: PREPA Revitalization Act, PRASA Revitalization Act, Moratorium Act and FY17 budget and related budget bills). He partnered with the Senate President on all Puerto Rico Senate intergovernmental relations with Congress and U.S. Treasury Department leading to the passage of Public Law No. 114-187 (known as PROMESA). He also collaborated in the first Puerto Rico Fiscal and Economic Growth Plan- representing the Senate President in the Working Group for the Fiscal and Economic Recovery of Puerto Rico, and developed a comprehensive set of economic initiatives submitted by the Senate President to the Congressional Task Force on Economic Growth in Puerto Rico.

 

          From January 2013 to July 2015, Mr. Arrillaga was Executive Director of the Puerto Rico Tourism Development Fund (TDF) at the Government Development Bank for Puerto Rico (GDB), where he also served as Special Advisor to the President. At TDF, he managed a loan and guarantee portfolio with ~$900 million in credit exposure. He led and structured the sale of TDF's ~$165 million loan interest in the Condado Duo Project (Vanderbilt and La Concha Hotels), realigned stakeholders interests as part of a forbearance promoting a loss mitigating exit of TDF's ~$125 million loan interest in the St. Regis Bahía Beach Hotel, and recovered substantial loan loss reserves as part of the settlement of TDF's ~$180 million guarantee for the Dorado Beach Ritz-Carlton Hotel. At GDB, he assisted with special projects analyzing and communicating government fiscal data, and anticipating evolving capital market perception and response. He was the principal liaison on expenditures, revenue and debt between the GDB and the group of former IMF economists responsible for the report titled Puerto Rico- A Way Forward (also known as the Krueger Report); and was a member of the Board of Directors of the Puerto Rico Municipal Revenue Collection Center (CRIM by its Spanish acronym) and the Puerto Rico Convention Center District Authority.

 

          As an attorney, he has a broad-based practice emphasizing corporate, banking and securities law. A significant portion of his practice focuses on representing both lenders and borrowers in complex financing transactions, as well as loan workouts and restructurings. In addition, he advises companies at various stages in the corporate lifecycle, and both purchasers and sellers in connection with all aspects of the sale process.           Mr. Arrillaga holds a B.A. in Economics and Political Science from the University of Michigan- Ann Arbor, a Juris Doctor from Fordham University School of Law, and is admitted to practice law in the Commonwealth of Puerto Rico, U.S. District Court for the District of Puerto Rico, United States Bankruptcy Court for the District of Puerto Rico, and the Federal Court of Appeals for the First Circuit.
